Terms of Service
These Terms govern your use of GrantClose (grantclose.com and app.grantclose.com), operated by F&S VENTURES LLC, a Minnesota limited liability company ("GrantClose," "we," "us"). By creating an account or using the service you agree to them on behalf of yourself and the organization you represent. If you do not agree, do not use the service.
The service
GrantClose helps you track the reports and deadlines in your own grant award agreements: you upload an award letter, the software suggests a reporting schedule, you confirm it, and GrantClose tracks owners, reminders, evidence and a closeout packet. GrantClose does not write your reports, does not submit anything to a funder, and does not connect to any funder portal.
Your account and responsibilities
- You must be able to form a binding contract and have authority to act for your organization. Keep your credentials confidential; you are responsible for activity under your account and for the people you invite.
- You confirm the dates. Extracted dates are suggestions. You are responsible for checking each against your award agreement and your funder's instructions, which are the authority on every requirement. GrantClose does not guarantee that a date was extracted correctly, that a reminder will be delivered, or that you will meet any deadline.
- You are responsible for the content you upload and for having the right to upload it.
No legal, audit or compliance advice
GrantClose is a tracking tool. It does not provide legal, accounting, audit or compliance advice, and it does not replace the judgment of your organization or its advisors.
Acceptable use
You may not use GrantClose to break the law or infringe anyone's rights; upload malware; upload health records, Social Security numbers, payment card data or case files about the people you serve; attempt to access another organization's data; probe, scan or overload the service; resell it; or interfere with its security. We may suspend or end accounts that do.
Plans and pricing
GrantClose has a Free plan and paid Pro and Team plans, with prices, limits and billing intervals shown on the pricing page, in US dollars. Free is limited to 1 active award, 1 seat and 250 MB. We may change prices or plan limits for the future with at least 30 days' notice by email; a change applies from your next renewal.
Subscription billing and renewal
Paid plans are billed in advance through Stripe, monthly or annually as you choose. Subscriptions renew automatically at the end of each period for the same interval, at the then-current price, until you cancel. We never charge a card without your action to subscribe. If a payment fails, Stripe may retry it, and we may limit your organization to the Free plan's limits until it is paid. You are responsible for applicable taxes.
Cancellation
You can cancel at any time from the billing page in the app (Manage billing opens Stripe's billing portal), or by emailing hello@grantclose.com. Cancellation stops the next renewal. You keep paid access through the end of the period you already paid for, and then your organization moves to the Free plan. Your closed awards stay readable and exportable, and everything you created stays readable. You just cannot add more active awards than the Free plan allows.
Refund policy
Because the Free plan lets you use every feature before you pay, fees are non-refundable and we do not give prorated refunds for partial billing periods or for unused time after cancellation, except (a) where the law requires it, and (b) if we charged you in error or charged you twice, in which case we will refund the amount. If you believe a charge is wrong, email hello@grantclose.com within 30 days of the charge and we will review it in good faith.
Your data and our license to it
You own what you upload. You give us a limited license to host, process and display it solely to provide the service to you. We handle your data as described in the Privacy Policy. You can export your closed awards and delete your organization at any time. We do not use your documents to train any model.
Our property
GrantClose, its software, design and branding belong to F&S VENTURES LLC. We grant you a non-exclusive, non-transferable right to use the service while you comply with these Terms.
Availability
We work to keep GrantClose available but do not promise uninterrupted or error-free service. We may change or retire features, and we will give notice of changes that materially reduce what a paid plan includes.
Disclaimer of warranty
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, F&S VENTURES LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost funding, lost grants, penalties, lost data or lost profits, arising from your use of the service, including a missed or late report. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose, or $100 if you paid nothing. Some jurisdictions do not allow certain limits, and in those the limits apply to the extent permitted.
Termination
You may stop using GrantClose and delete your organization at any time. We may suspend or end your access if you breach these Terms, fail to pay, or misuse the service, and we will give notice where practical. Sections that by their nature should survive termination will survive.
Governing law
These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Hennepin County, Minnesota, and you and we consent to their jurisdiction, except that either of us may seek injunctive relief in any court of competent jurisdiction.
Changes to these Terms
We may update these Terms. We will change the date above and, for material changes, notify account holders by email at least 30 days before they take effect. Continued use after that is acceptance.
